Terms of Service

1. Eligibility and Account Registration

You must be at least 16 years old, or the minimum age required in your jurisdiction, to use Functra. You are responsible for providing accurate registration information and for maintaining the confidentiality of your account credentials.

Authentication and identity management are provided through Clerk. You are solely responsible for safeguarding your login credentials, enabling appropriate security measures, and promptly notifying us if you suspect unauthorized access to your account.

2. Description of the Service

Functra provides digital tools for creating, storing, sharing, and collaborating on interactive boards and related educational or professional content. Features may vary depending on your subscription plan and product updates.

We may modify, suspend, or discontinue any part of the service at any time, with or without notice, where reasonably necessary for maintenance, security, legal compliance, or product improvement.

3. Intellectual Property

You retain all ownership rights in the content you create on Functra, including drawings, annotations, text, images, and other materials placed on your boards (“User Content”). Functra does not claim ownership over your canvas content.

By using Functra, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, and display your User Content solely as necessary to operate, secure, backup, and improve the service. This license ends when your content is deleted from our systems, subject to reasonable backup retention periods.

Functra’s software, branding, website, documentation, and all related intellectual property remain our exclusive property or that of our licensors. You may not copy, modify, distribute, sell, or reverse engineer any part of the platform except as expressly permitted by law or with our prior written consent.

4. Acceptable Use

You agree to use Functra only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

• Unauthorized scraping, crawling, harvesting, or automated extraction of data from the platform without our written permission.
• Attempting to bypass authentication, access controls, rate limits, or security mechanisms.
• Uploading, sharing, or distributing unlawful, infringing, harmful, abusive, defamatory, or otherwise objectionable content.
• Using the service to transmit malware, spam, phishing content, or to interfere with the operation of Functra or third-party systems.
• Misrepresenting your identity or affiliation, or using another person’s account without authorization.
• Reselling, sublicensing, or commercially exploiting the service in a manner not expressly authorized by Functra.

5. Subscriptions and Billing

Certain features, including Functra Pro, may require a paid subscription. Pricing, billing intervals, and plan details are displayed at checkout and may be updated from time to time.

Payments are processed by Stripe. By subscribing, you authorize Stripe to charge your selected payment method according to the applicable billing cycle. Your use of Stripe’s services is also subject to Stripe’s terms and privacy policy.

6. Service Availability and Disclaimer

Functra is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that the service will meet your requirements, that defects will be corrected, or that the platform will be available at all times. You use Functra at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, Functra and its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities arising out of or related to your use of the service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the amount you paid to Functra in the twelve (12) months preceding the event giving rise to the claim, or (b) fifty euros (€50), except where liability cannot be excluded under applicable law.

8. Termination

You may stop using Functra at any time. We may suspend or terminate your access if you violate these Terms, create legal or security risk, or if required by law.

Upon termination, your right to access the service ceases. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, and governing law, will remain in effect.

9. Governing Law

These Terms are governed by the laws of Greece and applicable European Union law, without regard to conflict-of-law principles. Mandatory consumer protection rules in your country of residence remain unaffected where applicable.

If you are a consumer in the European Union, you may also have the right to use the European Online Dispute Resolution platform or seek assistance from your local consumer authority.
